General Terms and Conditions with Customer Information

1) Scope

1.1 These General Terms and Conditions (hereinafter "T&Cs") of Lab-Nova Ltd (hereinafter "Seller") apply to all contracts for the supply of goods concluded between a consumer or entrepreneur (hereinafter "Customer") and the Seller regarding the goods presented in the Seller's online shop. The inclusion of the Customer's own terms is hereby objected to unless otherwise agreed.

1.2 These T&Cs also apply to contracts for the delivery of vouchers unless otherwise specified.

1.3 A consumer within the meaning of these T&Cs is any natural person who enters into a legal transaction for purposes that are predominantly outside their trade, business, or profession.

1.4 An entrepreneur within the meaning of these T&Cs is a natural or legal person or a legal partnership that, when entering into a legal transaction, acts in the exercise of its commercial or self-employed professional activity.


2) Conclusion of Contract

2.1 The product descriptions in the Seller's online shop do not constitute binding offers on the part of the Seller but serve to submit a binding offer by the Customer.

2.2 The Customer may submit the offer via the online order form integrated into the Seller's online shop. In doing so, after placing the selected goods in the virtual shopping cart and completing the electronic ordering process, the Customer submits a legally binding contract offer regarding the goods in the shopping cart by clicking the button to complete the order process.

2.3 The Seller may accept the Customer's offer within five days:

  • By sending the Customer a written order confirmation or a confirmation in text form (fax or email), in which case the receipt of the order confirmation by the Customer is decisive, or
  • By delivering the ordered goods to the Customer, in which case the receipt of the goods by the Customer is decisive, or
  • By requesting payment from the Customer after placing the order.

If multiple of the above alternatives apply, the contract is concluded at the moment one of the alternatives occurs first. The acceptance period begins on the day following the Customer's order submission and ends at the end of the fifth day following the order submission. If the Seller does not accept the Customer's offer within the aforementioned period, this is deemed a rejection of the offer, and the Customer is no longer bound by their declaration of intent.

2.4 When selecting "Amazon Payments," the payment processing is handled by Amazon Payments Europe s.c.a., 38 avenue John F. Kennedy, L-1855 Luxembourg (hereinafter: "Amazon"), subject to the Amazon Payments Europe User Agreement, available at Amazon Payments. By selecting "Amazon Payments" during the online checkout process, the Customer simultaneously submits a payment order to Amazon by clicking the order completion button. In this case, the Seller declares acceptance of the Customer's offer at the time the Customer triggers the payment process.

2.5 The contract text is stored by the Seller after the contract is concluded and sent to the Customer in text form (e.g., email, fax, or letter) after their order is submitted. Further access to the contract text by the Seller is not provided. If the Customer has created a user account in the Seller's online shop before submitting their order, the order details will be archived on the Seller's website and can be accessed by the Customer via their password-protected user account.

2.6 Before submitting a binding order via the Seller's online order form, the Customer can identify and correct potential input errors by carefully reviewing the displayed information. The browser's zoom function may serve as an effective tool to enhance visibility. The Customer can correct their inputs using the usual keyboard and mouse functions until they click the button completing the ordering process.

2.7 The contract can be concluded in German and English.

2.8 Order processing and communication typically occur via email and automated order processing. The Customer must ensure that the email address provided for order processing is correct so that emails sent by the Seller can be received. If the Customer uses spam filters, they must ensure that all emails sent by the Seller or third parties handling the order processing on the Seller's behalf can be delivered.


3) Right of Withdrawal

3.1 Consumers generally have a right of withdrawal.

3.2 More details on the right of withdrawal can be found in the Seller’s withdrawal policy.


4) Prices and Payment Conditions

4.1 Unless otherwise stated in the Seller's product description, the listed prices are total prices including statutory VAT. Any additional shipping and delivery costs are separately indicated in the respective product description.

4.2 For deliveries outside the European Union, additional costs may be incurred, such as fees for international money transfers (e.g., bank transfer fees, currency exchange fees) or import duties and taxes (e.g., customs duties), which must be borne by the Customer.

4.3 Available payment methods are displayed in the Seller's online shop.

4.4 If prepayment by bank transfer is agreed upon, payment is due immediately upon contract conclusion unless otherwise specified.

4.5 When selecting PayPal as a payment method, payment processing is handled by PayPal. If the Seller offers payment options where they provide advance services (e.g., purchase on account or installment payments via PayPal), the payment claim is assigned to PayPal or a payment service provider designated by PayPal. PayPal or its designated service provider may conduct a credit check before approving the payment method. If the credit check is negative, the Seller may refuse the selected payment method.

4.6 When choosing SOFORT as a payment method, payment processing is handled by SOFORT GmbH, Theresienhöhe 12, 80339 Munich, Germany. The transaction is carried out immediately, and the Customer's bank account is debited.

4.7 When selecting Shopify Payments, payment is processed via Stripe Payments Europe Ltd., 1 Grand Canal Street Lower, Grand Canal Dock, Dublin, Ireland.

4.8 When selecting credit card payment via Stripe, the invoice amount is due immediately upon contract conclusion. Stripe reserves the right to conduct a credit check and refuse the payment method if the credit check is negative.


5) Shipping and Delivery Conditions

5.1 The Seller ships to the delivery address provided by the Customer unless otherwise agreed.

5.2 If the delivery fails due to reasons attributable to the Customer, they must bear any additional costs incurred.

5.3 The risk of accidental loss or deterioration of goods is transferred to the Customer upon handover if they are a consumer. If the Customer is an entrepreneur, the risk transfers to them once the goods are handed over to the shipping carrier.

5.4 The Seller reserves the right to withdraw from the contract if a supplier fails to deliver the goods correctly or on time.

5.5 Self-collection is not possible for logistical reasons.


6) Retention of Title

The Seller retains ownership of the delivered goods until full payment is received.


7) Warranty

Warranty is provided in accordance with legal regulations unless otherwise specified.


8) Gift Vouchers & Promotional Vouchers

Gift vouchers and promotional vouchers can only be redeemed under the conditions specified in the online shop.


9) Applicable Law & Jurisdiction

9.1 The laws of the Federal Republic of Germany apply.

9.2 The exclusive place of jurisdiction is the Seller’s registered office, provided the Customer is a business entity.


10) Alternative Dispute Resolution

The European Commission provides an online dispute resolution platform at https://ec.europa.eu/consumers/odr. The Seller is not obliged or willing to participate in dispute resolution proceedings before a consumer arbitration board.
